1. Acceptance of Terms
By accessing or using STR Pro (“the Service”), operated by Wellstone Software (“we”, “us”, “our”), you agree to be bound by these Terms. These Terms apply to all users including property hosts, guests, and visitors.
2. Description of Service
STR Pro is a curated direct booking marketplace and property management platform for short-term rental owner-operators. The Service includes:
- Direct booking engine with Stripe checkout for guest payments
- Property listing pages with photos, amenities, pricing, and reviews
- Guest portal with messaging, check-in instructions, and booking management
- Financial management including P&L, accounting, tax exports, and bank sync
- REP hours tracking and tax strategy tools
- Deal analysis and property valuation tools
- Guest-host messaging, pre-booking inquiries, and a unified inbox
- Security deposits, rental agreements, and damage claims
- A searchable property directory at /stays
- Custom domain support for host booking pages
- Support ticket system
3. Platform Role
STR Pro is a marketplace facilitator, not a party to any rental transaction. We provide the technology platform connecting hosts and guests. The rental agreement is between the host and the guest. We are not a property manager, real estate broker, or lodging provider.
We do not own, manage, or control any listed properties. Hosts are solely responsible for the accuracy of their listings, compliance with local short-term rental regulations, tax collection and remittance, and the quality of the guest experience.
4. Not Tax or Legal Advice
STR Pro is a software tool, not a tax advisor, financial advisor, or law firm. All calculations, estimates, reports, tax rate suggestions, and exports are for informational purposes only. Tax rates shown are state-level estimates and may not include local surcharges. Always consult a qualified CPA or tax attorney before making tax decisions. Hosts are responsible for determining and collecting the correct lodging tax rate for their jurisdiction.
5. Curated Marketplace & Listing Applications
STR Pro is a curated marketplace. We review every property application before a listing goes live. We reserve the right to approve or reject any application at our sole discretion based on factors including hosting track record, guest reviews, property quality, and completeness of the application.
Approval does not constitute an endorsement. We may remove or suspend any listing at any time for violation of these Terms or for any other reason.
6. Direct Bookings & Payments
Payments are processed by Stripe. Guests pay the full booking amount (nightly rate, cleaning fee, taxes, and security deposit if applicable) at checkout. Hosts receive payouts minus the platform fee via Stripe Connect.
Platform fees: A percentage-based booking fee (1.5% for Pro, 5% for Starter) is deducted from each booking. Stripe processing fees (2.9% + $0.30) are also deducted from the host payout.
Pending bookings: Unpaid booking holds expire after 30 minutes and dates become available again.
Cancellations: Cancellation policies are set by each host. The applicable policy is displayed on the booking page and in the guest portal. Refunds are processed according to the stated policy.
7. Security Deposits & Damage Claims
Hosts may require a refundable security deposit charged at checkout. The deposit is automatically refunded after the host's claim window (24-168 hours after checkout) if no damage claim is filed.
Damage claims: Hosts may file a damage claim within their configured window after checkout. Claims include a description, amount, and photos. The host may charge the guest's stored payment method for damages.
Stored payment methods: Guest payment methods are saved by Stripe (via setup_future_usage) for potential post-stay damage charges. This is disclosed at checkout. Guests may dispute charges through their booking portal or by contacting support.
8. Rental Agreements
Hosts may configure a rental agreement that guests must accept before booking. The agreement text is set by the host. STR Pro does not review, endorse, or guarantee the enforceability of any rental agreement. Hosts are solely responsible for the content and legal validity of their agreements.
Acceptance is logged with a timestamp, IP address, and a version hash of the agreement text for audit purposes.
9. Messaging & Communications
All guest-host messaging is encrypted (AES-256-GCM). Host personal contact information (email, phone) is never shared with guests. All communication is routed through the platform.
Users agree not to send abusive, threatening, discriminatory, or illegal content through the messaging system. We reserve the right to review and remove any violating content.
10. Reviews
Guests and hosts may leave reviews after a completed stay. Reviews must be honest and factual. We reserve the right to remove reviews that are fraudulent, abusive, or violate these Terms. Hosts may also import reviews from other platforms (e.g., Airbnb) for display on their listing.
11. Custom Domains
Pro plan hosts may configure custom domains for their booking pages. STR Pro facilitates DNS configuration and SSL provisioning but is not a domain registrar. Hosts are responsible for domain ownership, DNS management, and renewal.
12. Subscription and Billing
STR Pro offers a free Starter tier and a paid Pro plan ($99/month with a 14-day free trial). Subscriptions are billed through Stripe. You may cancel at any time through Settings. Pro plans include up to 25 properties with an additional $5/month per property above 25.
13. Account Responsibilities
You are responsible for:
- Maintaining account credential confidentiality
- All activity under your account
- Accuracy of listing details, pricing, and tax rates
- Compliance with all applicable laws including STR regulations, tax collection, and fair housing
- Maintaining appropriate insurance for your rental property
14. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- List properties you do not own or have authorization to rent
- Provide false or misleading information in listings or applications
- Discriminate against guests based on protected characteristics
- Circumvent platform fees by directing guests to pay outside the platform
- Attempt to reverse engineer, scrape, or extract data from the Service
- Send spam, phishing, or abusive content through the messaging system
15. Third-Party Integrations
The Service integrates with Plaid, Stripe, Clerk, Hospitable, Resend, OpenStreetMap, Vercel, Sentry, and Anthropic. Your use of these integrations is subject to those providers' own terms and privacy policies.
16. Disclaimers and Limitation of Liability
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE THE QUALITY, SAFETY, OR LEGALITY OF ANY LISTED PROPERTY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WELLSTONE SOFTWARE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, ANY BOOKING OR STAY, ANY PROPERTY DAMAGE, OR ANY INTERACTION WITH OTHER USERS.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
17. Indemnification
You agree to indemnify and hold harmless Wellstone Software from any claims, damages, liabilities, costs, or expenses arising from your use of the Service, violation of these Terms, listing or booking activity, or any dispute with another user.
18. Dispute Resolution
Disputes between hosts and guests should first be resolved directly using the platform's messaging and support tools. STR Pro may assist in mediation but is not obligated to resolve disputes. Legal disputes arising from these Terms shall be governed by the laws of the Commonwealth of Pennsylvania.
19. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or in-app notice. Continued use constitutes acceptance of the revised Terms.
